THE OHIO PURCHASING COUNCIL (TOP-C) Membership Agreement
Overview: TOP-C, an Ohio regional council of governments created under Ohio Revised Code 167, provides unit pricing contracts from Vendors, either directly or via third party administrators, in order to help governmental agencies procure goods and services in a manner that is more cost effective, efficient, or technically advanced than internal resources may allow.  This agreement permits member entities, when permitted under applicable purchasing cooperative statuses of jurisdiction of the member entity to make purchases through the TOP-C contracts under the same terms and conditions and proposed pricing as lawfully awarded by TOP-C for the purpose of TOP-C or its members. 

This Agreement is made by and between you and your organization ("Member Entity") and The Ohio Purchasing Council and its affiliates Velocity Procurement Administrators, LLC and Aspire Works Purchasing Cooperative, LLC ("TOP-C").  

Important: A Member Entity is responsible for following their applicable state or federal procurement statuses when using cooperative purchasing agreements and responsible for verifying vendor compliance.  Member Entities are responsible for verifying vendor compliance with published contracts. 

Term: This Agreement shall be effective immediately and shall remain effective unless either party terminates this Agreement by providing thirty days written notice of termination to the other party.

This Agreement shall (1) allow Authorized Member Entities to purchase goods and services by purchase order, contract, agreement, or other legally permitted mechanism through competitively awarded vendor contractors; (2) allow Member Entities to access cooperative unit priced based contracts to purchase products or services from vendors which have been awarded contracts through statutorily authorized methods; (3) allow the Member Entities to access expertise to facilitate best practices in sourcing and procurement.  

Member Entity agrees to:

  • Provide TOP-C with current and updated contact information and a member representative
  • Follow the terms and conditions of awarded contracts in a manner consistent with local law
  • Pay vendors for contracted services in a timely manner
  • Issue purchase orders to vendors directly but provide TOP-C purchase orders requested
  • Commit to purchase products and services from TOP-C vendors when it is deemed in the best interest of the member entity
  • Operate in a manner consistent with local, state and federal law
  • Notify TOP-C if a vendor fails to perform as contracted but engage in dispute resolution with the vendor with limited support from TOP-C
  • Operate in a manner consistent with the by-laws of TOP-C

If applying for membership as a COG Member and not only the Cooperative Member status, member entity agrees to be bound by the terms and conditions in the TOP-C by-laws and Formation Agreement and agrees to participate in the COG. 

This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersede all prior agreements and understandings, oral or written, with respect to such matters, which the parties acknowledge have been merged into such documents.  Electronic communication may include registering on the website and agreeing to terms and conditions through that registration process or updates thereto. TOP-C reserves the right, from time to time, with or without sending further notice, to change the terms of this Agreement, and any changes will be posted on the website and/or will be emailed to all members.  The most current version of the terms will supersede any previous versions.  Your continued use of your membership shall mean that you agree to be bound by such changes. 

I agree that TOP-C or its affiliates may send me updates, advertisements, and information via email, text message, fax, mail, social media, as it deems relevant. 

The terms of this agreement shall be governed by the laws of the State of Ohio, without reference to any applicable conflict of law rules.  If any term(s) or provision(s) of this Agreement are held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of the provisions of this Agreement shall remain in full force and effect.

The Parties to this Agreement expressly acknowledge and agree that all monies, if any, paid pursuant to this Agreement shall be paid from budgeted available funds for the current fiscal year of each such entity.

No Party to this Agreement waives or relinquishes any immunity or defense on behalf of themselves, their directors, officers, employees, and agents as a result of its execution of this Agreement and performance of the functions and obligations described herein.

The parties shall be entitled to exercise any right or remedy available to it either at law or in equity, subject to the choice of law, venue and service of process clauses limitations agreed herein. Nothing in this agreement shall commit the TOP-C or its affiliates to an arbitration resolution of any disagreement under any circumstances. Any issues not resolved hereunder must be referred to non-binding mediation to be conducted by a mutually agreed upon mediator as a prerequisite to the filing of any lawsuit over such issue(s). The parties shall share the mediator’s fee and any associated filing fee equally.

I affirm that by submitting this online form, that I am an authorized signatory to act for and legally bind the entity I am presently registering to the terms of this Agreement.

I certify that by submitting this online form that all information provided is true and correct to the best of my knowledge.  The submitting party understands that any statements and information submitted to TOP-C, a government entity, is subject to additional scrutiny and verification than a private contract.
